1. Introduction
These Business Cardholder Terms ("Terms") govern the issuance and use of virtual and physical payment cards ("Cards") made available to businesses ("you" or "your") by Airpero LTD ("Airpero", "we", "our", or "us") through our licensed card issuing partners.
These Terms apply in addition to our Business Terms & Conditions and Business Privacy Policy.
2. Card Issuance
Cards are issued to the Business subject to successful completion of Know Your Business (KYB) and Know Your Customer (KYC) verification, approval by Airpero and our card issuing partner, applicable card network rules, and any additional eligibility criteria communicated at the time of issuance.
3. Authorized Cardholders
The Business may designate authorized employees or representatives as cardholders. The Business is responsible for all activity conducted using Cards issued to its authorized cardholders, including setting and managing individual spending limits and permissions.
4. Activation and Use
Cards must be activated in accordance with the instructions provided before use. Cards may only be used for lawful business transactions, within applicable spending or transaction limits, and in accordance with these Terms and our Business Acceptable Use Policy.
5. Funding
Business Cards may be funded through the Business's Airpero wallet balance or other funding methods made available by Airpero. The Business is responsible for maintaining sufficient balance to cover intended transactions.
6. Card Security
The Business is responsible for ensuring that cardholders keep Card details, PINs, and authentication credentials confidential, and must notify Airpero immediately if a Card is lost, stolen, or compromised, or if unauthorized use is suspected.
7. Fees
The following fees apply to the use of Business Cards, in addition to any card issuance, replacement, or other fees disclosed to the Business at the time they are incurred.
7.1 Declined Transaction Fee
A fee of USD $0.50 applies per declined authorization attempt where the decline results from insufficient balance on the Business's Airpero wallet or Card.
7.2 Cross-Border Transaction Fee
A fee of 2.5% of the transaction amount plus USD $0.75 per transaction applies to transactions processed through a merchant whose acquiring bank or payment processor is located outside the United States.
Applicable fees will be disclosed to the Business in advance and reflected in the Business's transaction history and statements.
8. Declined Transactions
A transaction may be declined for reasons including insufficient balance, exceeding applicable transaction or spending limits, suspected fraud or unusual activity, merchant or network restrictions, or compliance and regulatory holds. Airpero is not liable for losses arising from a declined transaction made in accordance with these Terms.
9. Card Replacement and Cancellation
The Business may request replacement or cancellation of a Card at any time. Airpero may also suspend, block, or cancel a Card where fraud or misuse is suspected, required verification has not been completed, the Business breaches these Terms, or Airpero is required to do so by a regulator, card network, or law enforcement authority.
10. Lost or Stolen Cards
If a Card is lost, stolen, or compromised, the Business must notify Airpero immediately so that the Card can be blocked and, where applicable, a replacement arranged. The Business may be responsible for transactions made before the loss, theft, or compromise is reported, to the extent permitted by applicable law.
11. Disputed Transactions
If the Business identifies a transaction that was not authorized or appears incorrect, it should contact Airpero as soon as possible. Airpero will investigate the matter in accordance with applicable card network rules.
12. Limitation of Liability
To the fullest extent permitted by law, Airpero is not liable for losses arising from merchant disputes, network outages, third-party processing failures, or the Business's failure to safeguard Cards and credentials, except where such liability cannot be excluded by law.
13. Changes to These Terms
Airpero may update these Business Cardholder Terms from time to time to reflect changes in our card programs, card network rules, fees, or applicable law. Continued use of Business Cards after changes take effect constitutes acceptance of the revised Terms.
