1. Introduction
These Terms & Conditions – Business Accounts ("Terms") govern access to and use of the business products and services provided by Airpero LTD ("Airpero", "we", "our", or "us") to businesses, organizations, and their authorized representatives ("you", "your", or "the Business").
By registering for or using an Airpero Business Account, you confirm that you have the authority to bind the Business to these Terms, and that you have read, understood, and agree to comply with these Terms, our Business Privacy Policy, Business Acceptable Use Policy, and any other applicable policies.
2. Eligibility
To open and maintain an Airpero Business Account, the Business must:
- Be a validly formed and registered legal entity.
- Provide accurate and complete business registration information.
- Successfully complete our Know Your Business (KYB) and Know Your Customer (KYC) verification process for beneficial owners and authorized representatives.
- Operate a business that is lawful and not engaged in a restricted or prohibited industry.
- Designate authorized individuals to operate the account on the Business's behalf.
Airpero reserves the right to refuse or terminate any Business Account that does not meet these requirements.
3. Your Business Account
An Airpero Business Account may provide access to:
- Business digital wallet services.
- Domestic and international payments and payouts.
- Foreign exchange services.
- Virtual and physical business payment cards.
- API access for payment initiation and account management.
- Bill payment and vendor payment services.
- Other services introduced by Airpero from time to time.
Service availability may vary depending on the Business's jurisdiction, industry, and applicable regulations.
4. Business Verification (KYB/KYC)
To comply with applicable laws, Airpero may require the Business to provide:
- Certificate of incorporation or equivalent registration documents.
- Business ownership and structure information.
- Identification for directors, beneficial owners, and authorized signatories.
- Proof of business address.
- Business licenses, where applicable.
- Source of funds and business activity documentation.
- Any additional information requested during compliance review.
Failure to complete verification may result in restrictions, suspension, or closure of the Business Account.
5. Authorized Users
The Business is responsible for designating and managing authorized users who may access and operate the Business Account, including setting appropriate permission levels.
The Business is responsible for all activity conducted by its authorized users and must promptly notify Airpero of any change in authorized personnel or if access should be revoked.
6. Using Your Business Account
The Business agrees to:
- Use the account only for lawful business purposes.
- Ensure all information provided is accurate and kept up to date.
- Use only funds that the Business legally owns or is authorized to use.
- Review all transaction details before confirming payments or transfers.
7. Payments, Transfers, and Foreign Exchange
Before submitting a payment, transfer, or payout, the Business is responsible for verifying recipient details, account numbers, payment amounts, and currency selection.
Where foreign exchange services are used, exchange rates may fluctuate, quotes are valid only for the period displayed, and applicable fees or margins will be disclosed before the transaction is confirmed.
Completed transactions may not be reversible.
8. Fees
Business services may be subject to fees, including transaction fees, foreign exchange margins, card issuance fees, API usage fees, and other charges disclosed to the Business before they are incurred.
9. Prohibited Activities
The Business must not use Airpero for any activity prohibited under our Business Acceptable Use Policy, including fraud, money laundering, terrorist financing, sanctions evasion, or any unlawful business activity.
Violation of these Terms may result in suspension, termination, or reporting to relevant authorities.
10. Account Security
The Business is responsible for maintaining the security of login credentials, API keys, authentication devices, and payment cards associated with the Business Account, and must notify Airpero immediately of any suspected unauthorized access.
11. Compliance and Monitoring
Airpero may monitor Business Account activity to comply with applicable Anti-Money Laundering (AML), Counter-Terrorist Financing (CTF), sanctions, and fraud prevention requirements, and may request additional information before processing certain transactions.
12. Suspension or Closure of Accounts
Airpero may suspend, restrict, or close a Business Account where the Business breaches these Terms, required verification is not completed, fraud or suspicious activity is detected, or continued provision of services would expose Airpero or its partners to legal, regulatory, or financial risk.
13. Intellectual Property
All content, software, trademarks, logos, and materials made available through Airpero are owned by or licensed to Airpero and may not be used without prior written permission.
14. Limitation of Liability
To the fullest extent permitted by law, Airpero is not liable for indirect, incidental, special, consequential, or punitive damages arising from delays or interruptions in service, network or system failures, third-party provider failures, regulatory actions, or unauthorized access resulting from the Business's failure to protect its credentials.
15. Changes to These Terms
Airpero may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. Updated Terms will be published on our website or mobile application, and continued use of the Business Account constitutes acceptance of the revised Terms.
16. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws applicable to the jurisdiction in which the relevant Airpero service is provided, together with any mandatory regulations that apply.
